Whop Cash Back Rewards Program Terms

These Whop Cash Back Rewards Program Terms (“Cash Back Terms”) govern your participation in any cash back rewards program offered by Whop Inc. (“Whop,” “we,” “us,” or “our”) in connection with eligible purchases made using the Whop Card. By participating in the cash back rewards program, using the Whop Card for eligible purchases, or accepting these Cash Back Terms, you agree to be bound by these Cash Back Terms.

These Cash Back Terms are separate from, and supplement, the Whop Spend Card Terms, the Whop User Agreement, and any other applicable Whop terms. In the event of a conflict between these Cash Back Terms and any other Whop terms with respect to the cash back rewards program, these Cash Back Terms will control solely with respect to the cash back rewards program.

1. Program Sponsor

The cash back rewards program is offered solely by Whop.

The cash back rewards program is not offered, sponsored, administered, funded, or guaranteed by the card issuer, the card networks, including Visa or Mastercard, or any merchant, including Uber, unless expressly stated otherwise by Whop in writing.

The issuer of the Whop Card is not responsible for determining eligibility for cash back rewards, calculating rewards, crediting rewards, resolving rewards-related disputes, modifying the rewards program, or paying any cash back rewards.

2. Acceptance by Cardholder

You must accept these Cash Back Terms to participate in the cash back rewards program. Whop may require you to accept these Cash Back Terms electronically, including through the Whop platform, before you are eligible to earn or receive cash back rewards.

By accepting these Cash Back Terms, you represent and warrant that:

  1. you are the authorized cardholder or account holder for the applicable Whop Card;
  2. you are eligible to use the Whop Card under the applicable card terms;
  3. you will participate in the cash back rewards program only for lawful purposes;
  4. you will not misuse, manipulate, or attempt to circumvent the cash back rewards program; and
  5. all information you provide to Whop in connection with the program is true, accurate, and complete.

3. Eligible Purchases

Whop may, in its sole discretion, offer cash back rewards on certain eligible purchases made with the Whop Card.

Unless otherwise stated by Whop, eligible purchases for cash back rewards include:

  1. Whop ads;
  2. content rewards; and
  3. Uber rides or other Uber transportation services.

For clarity, Uber Eats, food delivery, grocery delivery, and other non-transportation Uber services are not eligible for cash back rewards unless Whop expressly states otherwise in writing.

Whop may determine whether a purchase is eligible for cash back rewards in its sole discretion. Merchant category codes, transaction data, merchant names, transaction descriptions, processor data, card network data, or other information available to Whop may be used to determine eligibility, but Whop is not required to rely on any particular source of information.

4. Reward Rate

Eligible purchases will earn cash back at a rate of five percent (5%) of the qualifying purchase amount, unless Whop states a different rate in writing.

The qualifying purchase amount excludes, as applicable, refunds, returns, chargebacks, disputed amounts, reversals, taxes, tips, fees, foreign exchange adjustments, credits, promotional credits, cash-like transactions, and any other amounts Whop determines are not eligible.

5. Monthly Cap

Cash back rewards are subject to a maximum aggregate cap of fifty thousand dollars ($50,000) per calendar month per Account.

Any eligible purchases made after the monthly cap has been reached will not earn additional cash back rewards for that calendar month. Unused monthly cap amounts do not roll over to future months.

Whop may apply the cap at the account, user, business, entity, card, or other level as Whop determines in its sole discretion.

6. Earning and Crediting Rewards

Cash back rewards have no cash value until they are credited to your Whop Account.

Rewards are not earned, vested, final, or payable until Whop determines that the applicable transaction is eligible and the reward has been credited to your Whop Account.

Whop may determine the timing, method, and conditions for crediting cash back rewards in its sole discretion. Rewards may be credited daily, weekly, monthly, after transaction settlement, after a holding period, or on any other schedule determined by Whop.

Whop may delay crediting rewards while it reviews transaction eligibility, fraud risk, account standing, chargebacks, refunds, disputes, or any other matter relevant to the cash back rewards program.

7. Exclusions and Restrictions

Cash back rewards will not be available for transactions that Whop determines are ineligible, including transactions involving:

  1. refunds, returns, reversals, or chargebacks;
  2. suspected fraud, abuse, misuse, or manipulation;
  3. prohibited activity under the Whop Spend Card Terms, the Whop User Agreement, or any other applicable Whop terms;
  4. account default or failure to satisfy payment obligations;
  5. transactions that are declined, canceled, reversed, or not settled;
  6. cash-like transactions, money transfers, stored value transactions, cryptocurrency purchases, gambling transactions, or other restricted transactions;
  7. transactions made after a card, account, or program has been suspended, restricted, closed, or terminated; or
  8. any other transaction or category of transaction Whop determines is not eligible.

Whop may withhold, reverse, reduce, cancel, or forfeit rewards if Whop determines that the rewards were earned in connection with ineligible activity or were otherwise credited in error.

8. Reversals, Forfeiture, and Adjustments

Whop may reverse, withhold, reduce, offset, cancel, or forfeit cash back rewards in connection with:

  1. refunds, returns, chargebacks, or transaction reversals;
  2. suspected fraud, misuse, gaming, manipulation, or abuse;
  3. violation of these Cash Back Terms;
  4. violation of the Whop Spend Card Terms, the Whop User Agreement, or any other applicable Whop terms;
  5. account default, unpaid amounts, or failure to satisfy payment obligations;
  6. closure, suspension, or restriction of your Whop Account or Whop Card;
  7. technical, processing, merchant, card network, or data errors; or
  8. any other reason Whop determines is appropriate in connection with the administration of the program.

If cash back rewards are credited and Whop later determines that those rewards should not have been credited, Whop may deduct the amount from your Whop Account, offset the amount against future rewards, require repayment, or use any other remedy available under applicable terms or law.

9. Program Changes and Termination

Whop may modify, suspend, restrict, or terminate the cash back rewards program at any time, with or without notice, except as required by applicable law.

This includes changes to:

  1. eligible purchase categories;
  2. reward rates;
  3. monthly caps;
  4. calculation methods;
  5. exclusions;
  6. crediting schedules;
  7. redemption methods;
  8. account eligibility requirements; and
  9. any other program terms.

Whop may also modify, suspend, restrict, or terminate your individual participation in the program at any time if Whop determines that you are not eligible, have violated applicable terms, pose risk to Whop or the program, or have engaged in suspected fraud, misuse, manipulation, or prohibited activity.

10. No Cash Value Until Credited

Cash back rewards have no cash value until credited to your Whop Account. Rewards are not your property, do not accrue interest, are not transferable, and may not be assigned, sold, pledged, or transferred except as expressly permitted by Whop.

Rewards are promotional in nature and do not constitute a deposit, stored value balance, loan, extension of credit, security, or other financial product offered by Whop, the issuer, or any card network.

11. Taxes

You are solely responsible for determining and satisfying any tax obligations arising from your receipt or use of cash back rewards. Whop may report rewards to tax authorities where required by applicable law.

Whop does not provide tax advice. You should consult your own tax advisor regarding the tax treatment of any rewards.

12. Program Errors

Whop may correct any error related to the cash back rewards program at any time, including errors in eligibility determinations, reward calculations, reward rates, caps, crediting, reversals, or account balances.

Whop’s failure to identify or correct an error immediately does not waive Whop’s right to correct the error later.

13. Disputes Regarding Rewards

If you believe that cash back rewards were incorrectly calculated, withheld, reversed, reduced, forfeited, or not credited, you must notify Whop within sixty (60) days after the transaction or reward activity at issue appears, or should have appeared, in your Whop Account.

Your notice must include sufficient information for Whop to review the dispute, including the transaction date, merchant, amount, card used, expected reward amount, and an explanation of the issue.

Whop may require additional information or documentation to evaluate your dispute. If you do not provide the requested information, Whop may deny the dispute.

Whop’s determination regarding reward eligibility, calculation, crediting, reversal, forfeiture, or adjustment will be final and binding, except as required by applicable law.

Rewards-related disputes are solely between you and Whop. The card issuer, card networks, and merchants are not responsible for resolving rewards-related disputes.

14. Relationship to Card Disputes and Chargebacks

A dispute regarding cash back rewards is separate from a chargeback or transaction dispute involving the Whop Card.

Initiating a chargeback, refund request, or transaction dispute may result in the applicable cash back rewards being withheld, reversed, reduced, or forfeited.

Resolution of a card transaction dispute in your favor does not guarantee that cash back rewards will be credited, reinstated, or preserved.

15. Account Suspension or Closure

If your Whop Account, Whop Card, or access to Whop services is suspended, restricted, closed, or terminated, Whop may suspend your participation in the cash back rewards program and may withhold, reverse, reduce, cancel, or forfeit any pending or credited rewards, except as required by applicable law.

16. Disclaimer

The cash back rewards program is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Whop disclaims all warranties, express or implied, relating to the cash back rewards program, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or reliability.

Whop does not guarantee that any particular transaction will qualify for rewards or that the cash back rewards program will continue to be available.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Whop and its affiliates, officers, directors, employees, agents, service providers, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or other similar damages arising out of or relating to the cash back rewards program.

To the maximum extent permitted by applicable law, Whop’s total liability for any claim arising out of or relating to the cash back rewards program will not exceed the amount of cash back rewards actually and finally credited to your Whop Account in the three (3) months preceding the event giving rise to the claim.

18. Indemnity

You agree to indemnify, defend, and hold harmless Whop, its affiliates, and their respective officers, directors, employees, agents, service providers, and representatives from and against any claims, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your breach of these Cash Back Terms;
  2. your misuse of the cash back rewards program;
  3. your fraud, manipulation, or abuse of the program;
  4. your violation of applicable law; or
  5. your violation of any third-party rights.

19. Governing Law

These Cash Back Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

20. Informal Dispute Resolution

Before filing any arbitration or legal proceeding against Whop relating to the cash back rewards program, you agree to first contact Whop at support@whop.com and attempt to resolve the dispute informally.

Your notice must include your name, account information, a description of the dispute, the relief you seek, and any supporting documentation.

If the dispute is not resolved within thirty (30) days after Whop receives your notice, either party may proceed as set forth below.

21. Arbitration Agreement

You and Whop agree that any dispute, claim, or controversy arising out of or relating to these Cash Back Terms or the cash back rewards program will be resolved by final and binding arbitration, except as expressly provided below.

The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The arbitration will be conducted by a single arbitrator.

The arbitration will take place in New York, New York, unless Whop and you agree otherwise, or unless the arbitrator determines that a remote proceeding is appropriate. The arbitration may be conducted by video conference, telephone, or other remote means.

The arbitrator will have authority to award any individual relief that would be available in court, subject to the limitations and exclusions in these Cash Back Terms.

22. Class Action and Jury Trial Waiver

To the maximum extent permitted by applicable law, you and Whop agree that any dispute will be brought only on an individual basis and not as a class, collective, consolidated, coordinated, mass, private attorney general, or representative action.

You and Whop waive any right to participate in a class action, class arbitration, collective action, consolidated action, coordinated action, mass arbitration, private attorney general action, or representative proceeding.

If for any reason a dispute proceeds in court rather than arbitration, you and Whop knowingly and irrevocably waive any right to trial by jury.

23. Small Claims

Notwithstanding the arbitration agreement above, either you or Whop may bring an individual action in small claims court if the claim qualifies and remains in small claims court.

24. Changes to These Cash Back Terms

Whop may update or modify these Cash Back Terms at any time, except as prohibited by applicable law.

Whop may provide notice of changes by posting updated terms on the Whop platform, sending notice by email, providing in-product notice, or by any other method permitted by applicable law.

Your continued participation in the cash back rewards program after updated Cash Back Terms become effective constitutes your acceptance of the updated Cash Back Terms.

25. Severability

If any provision of these Cash Back Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions will remain in full force and effect.

26. Survival

Any provisions that by their nature should survive termination of these Cash Back Terms will survive, including provisions relating to reversals, forfeiture, disputes, arbitration, class action waiver, limitation of liability, indemnity, taxes, and governing law.
