Whop Wallet Terms of Service These Wallet Terms apply when you use the self-hosted stablecoin wallet (the “Wallet”) offered through Whop and form part of, and supplement, our Terms of Service. To the extent that there is any conflict between the Terms of Service and these Wallet Terms with respect to the Wallet or exchanges of USDT for cbBTC and XAU₮, these Wallet Terms will control. All other provisions of the Terms of Service—including the arbitration agreement and class action waiver—apply to your use of the Wallet, Relay, and the exchange of USDT for cbBTC and XAU₮. Every Whop account is tied to a Wallet. By using Whop and the Wallet, you agree to these Wallet Terms. Capitalized terms not defined here have the meaning given in the Terms of Service. 1. Stablecoin Wallet Whop has partnered with Horkos, Inc. (D/B/A Privy) (“Privy”) to offer you the self- hosted stablecoin Wallet. When you deposit funds, you convert U.S. dollars held at a Financial Partner into USDT, a stablecoin issued by Tether International, S.A. de C.V. (“Tether”). By using the Wallet and accepting these Wallet Terms, you agree to be bound by Privy’s Terms of Service (the “Privy Terms”). Whop is not a party to the Privy Terms and is not liable to you in respect thereof. Whop charges no fee to set up or maintain a Wallet and does not control it. You can convert USDT back to U.S. dollars; any conversion fee is shown before you confirm. Your Wallet balance may not reflect a transaction until the transaction has been confirmed on the applicable blockchain network. Whop is not a custodian of your Wallet or the digital assets held in your Wallet. Your stablecoins are within your control, but Whop may communicate to Privy pursuant to the authorization in Section 2. Your private key’s security architecture combines trusted execution environments and distributed key sharding, meaning keys are (1) stored as encrypted shares distributed across separate security boundaries and (2) only temporarily reconstructed within trusted execution environments when needed for specific operations, under the Wallet owner’s control. USDT is not U.S. dollars, not a bank deposit, and not FDIC insured. Tether claims each token is backed by U.S. dollars or other cash-equivalent and liquid reserves, but a stablecoin may lose its stated value. Wallet transactions are irreversible: you could lose everything if you send funds to a wrong address or an unsupported network. You are responsible for securing your Whop login credentials. 2. Exchanging USDT for cbBTC (Coinbase Wrapped Bitcoin) and XAU₮ (Tether Gold) with Relay The Wallet lets you exchange USDT for two other digital assets: cbBTC (Coinbase Wrapped BTC, a token representing bitcoin) and XAU₮ (Tether Gold, a token representing gold). You are never required to make these exchanges. Please read this section before you do. In the future, the Wallet may support the exchange of additional digital assets. Relay. Exchanges run through Relay, a third-party cross-chain decentralized exchange. Relay quotes the price and executes the on-chain swap. Whop does not issue cbBTC or XAU₮, does not operate Relay, does not set prices, and is not your broker, dealer, exchange, custodian, or adviser. Relay and the token issuers are independent third parties and Whop has no responsibility for their performance. Exchanges are subject to Relay’s Terms of Use (“Relay Terms”) and by using the Wallet and accepting these Wallet Terms you agree to be bound by the Relay Terms. Whop is not a party to the Relay Terms and is not liable to you in respect thereof. To the fullest extent permitted by law, and except as stated in the Terms of Service, Whop is not liable for any loss arising from Relay, cbBTC, XAU₮, or the networks they use. What cbBTC and XAU₮ are. cbBTC is issued by Coinbase and intended to track bitcoin 1:1, with the underlying bitcoin held by Coinbase. XAU₮ is issued by TG Commodities, S.A. de C.V. with each XAU₮ intended to represent one fine troy ounce of gold held in reserve. When you receive cbBTC or XAU₮, you receive the token in your Wallet—not native bitcoin and not physical gold. Risks you accept. For both cbBTC and XAU₮: • The token is not the underlying asset. Its value depends on the issuer honoring the backing and on the token’s continued operation. • The token carries issuer, custody, and, for XAU₮, redemption risk. If the issuer fails to maintain backing, becomes insolvent, suspends redemptions, or stops supporting the token, you could lose some or all of its value. • The token’s value may deviate from bitcoin or spot gold and is volatile; you may receive less than you paid. • The token is not U.S. dollars, not a bank deposit, and not FDIC insured. It is not backed by Whop, Privy, or any Financial Partner. Whop is not liable for any loss caused by price volatility, a stablecoin or token failing to hold its intended value or peg, price slippage, or a difference between a quoted and an executed price for any stablecoin or token, including USDT, cbBTC, or XAU₮. Whop is not liable for any loss caused by smart-contract or protocol errors, bugs, or exploits; blockchain forks, reorganizations, or downtime; network congestion or failed transactions; loss or compromise of your device or key material; or the failure, unavailability, or acts or omissions of Privy or Relay or any token issuer. You authorize Whop to communicate the transactions you initiate to Privy, which then signs and sends them. The exchange executes on Relay. Your authorization gives Whop no custody or ownership of your assets. You can see your existing authorization and revoke it in your Wallet settings, and the scope of your authorization will not be expanded without your consent. If you revoke your authorization for a specific Wallet (for example your Business or Personal balance), you will not be able to continue to use the relevant Whop account. Wallet Portability. In the event you decide to revoke your authorization and not continue to use the relevant Whop account, you may access your Wallet’s private key in your Wallet settings in order to use the Wallet outside of the Whop environment. Obtaining your private key will disable your relevant account. Fees. Before you confirm an exchange, the Wallet will identify the rate and any fees (including Relay, network “gas,” and spread charges) for such transaction. Rates are set by the market and Relay, not Whop, and may change before the blockchain confirms. Confirming an exchange accepts the rate and fees displayed by the Wallet. Any fees that Whop charges in connection with a transaction will be displayed in your Wallet before you confirm it. Irreversibility. Exchanges and transfers of cbBTC or XAU₮ are recorded on public blockchains and cannot be canceled, reversed, or refunded. Transactions may also be delayed or fail due to network conditions. No advice. Nothing here is investment, financial, legal, or tax advice, and no exchange is a recommendation. Digital assets face evolving regulation. You are responsible for determining whether these transactions are lawful and appropriate for you and for any tax consequences. Your agreement. By using the Wallet or making an exchange, you confirm you have read and understood these Wallet Terms, grant the authorization above, and accept these risks at your own risk and of your own volition.
