If you are forming a UAE company in 2026, the order of work matters more than the brochure. This is the sequence we run at StrataLink: structure, jurisdiction, tax, then banking. Use it as a checklist, then book an intake or review packages on .

1. Corporate structuring (days 1–2)


Start with who owns what, not with a license name.


  • Map founders, holding vehicles, and any operating subs. Decide if you need a HoldCo plus OpCo, or a single Free Zone company.

  • Confirm activity codes before you file. Mixed activities often force a second license or a Mainland add-on.

  • Appoint a manager/director who can sign bank KYC. Remote founders still need a named UBO trail.

  • Prepare passport copies, proof of address, UBO declarations, and a simple cap table. Banks will ask for the same pack later.


Do not skip the operating agreement. Banks and FTA both care who can bind the company.


2. Free Zone vs Mainland


Free Zone is usually the right default for digital, holding, consulting, and export-led businesses: 100% foreign ownership, faster incorporation, and a cleaner visa quota story. Pick the zone for the activity and the bank you actually want, not the cheapest license.


Mainland is the path when you need to trade onshore with UAE customers, bid government work, or run certain regulated activities. It is slower, more documentation-heavy, and often needs a local service agent or specific office setup.


A hybrid is common: Free Zone HoldCo, Mainland branch or second license only where the activity requires it. Do not open both “just in case.”


3. Corporate tax registration


UAE corporate tax is live. Formation is not finished until FTA registration is in motion.


  • Register for corporate tax after trade license issuance. Most Free Zone entities still register even when they expect 0% qualifying-income treatment.

  • Qualifying Free Zone Person status is not automatic. Document qualifying income, substance, and related-party dealings.

  • Separate VAT (if you hit the threshold) from corporate tax. Different clocks, different portals.

  • Keep invoices, contracts, and transfer-pricing notes from day one. Retroactive cleanup is expensive.


If you already have overseas companies, map PE risk before you invoice from the UAE entity.


4. Opening a UAE business bank account (days 5–7, if the file is clean)


Banking is the bottleneck. Treat it as a second incorporation.


  • Pick the bank to match your profile: multi-currency flows, crypto-adjacent activity, and founder residency all change the shortlist.

  • Submit a complete KYC pack: license, MoA/AoA, UBO IDs, office proof, business plan, sample invoices or contracts, and source of wealth.

  • Expect a video KYC and questions on counterparties. Inconsistent websites or empty LinkedIn profiles get declined.

  • Do not run personal accounts as a workaround. It creates tax and banking risk.


If the first bank declines, fix the file (activity description, substance, transaction narrative) before you spray applications.


5. A realistic 7-day Free Zone path


When documents are ready and the activity is standard:


  1. Structure memo and activity lock

  2. Name reservation and incorporation filing

  3. License and establishment card

  4. Corporate tax registration kickoff

  5. Bank shortlist and KYC submission

  6. Manager KYC / video call

  7. Account in principle or a documented follow-up list


Visa, office, and VAT can trail the license. Banking should not.

Who this is for


Founders incorporating in a UAE Free Zone or on the Mainland who need a corporate account (not a personal resident account). It applies whether you are resident, non-resident, or still finishing visa/establishment card steps.


Eligibility: what banks underwrite in 2026


Banks do not only check that your company exists. They underwrite you, the company, and the activity.


Company

  • Active trade license and, for Free Zones, a completed establishment card where required

  • Shareholding that is fully documented (UBO chain to natural persons)

  • A registered office / flexi-desk that the bank can verify

  • Activity codes that match what you will actually invoice


People

  • UBOs and authorized signatories with passports valid well beyond 6 months

  • Source of wealth and source of funds that you can evidence (employment, prior exits, dividends, savings, investments)

  • Sanctions, PEP, and adverse-media screening that comes back clean or explainable

  • For non-residents: a coherent reason you bank in the UAE (clients, suppliers, team, or holding structure)


Activity

  • Low-friction: professional services, software, holding companies with a simple asset story

  • Higher friction: crypto, payments, money services, trading of goods without a warehouse story, high-cash businesses

  • If your license says “general trading” but your pitch is “SaaS,” expect questions. Align license wording with invoices.


Residency is not always mandatory, but it shortens review. Many retail banks prefer at least one UAE-resident signatory. International / private-banking desks and some Free Zone partner banks still onboard non-resident boards when the file is complete.

Start the bank conversation as soon as the license is issued, not after you have already signed customer contracts that require a UAE IBAN.

Prepare a single, named folder. Inconsistent filenames and mixed languages slow reviewers.

  • [ ] Visa / Emirates ID if resident

  • [ ] Proof of residential address dated within 3 months (utility, bank statement, or government letter). Hotel invoices usually fail.

  • [ ] CV or LinkedIn-quality bio

  • [ ] Source of wealth pack: tax returns, sale agreements, dividend vouchers, employment letters, or portfolio statements

  • [ ] Specimen signatures


Business substance

  • [ ] One-page business plan: clients, geographies, expected monthly inflows/outflows, currencies

  • [ ] Sample contracts or LOIs if you already have them

  • [ ] Website and invoice template showing the same legal name as the license

  • [ ] Expected counterparties (who pays you, who you pay)

  • [ ] If you will receive a large first wire: origin bank, sender name, and purpose in writing before it is sent


Scan quality: color PDF, no shadows, no cropped stamps. Arabic + English is fine; untranslated third-country documents are not.


How to avoid delays (process)


  1. Pick the bank for your profile, not the brand. Retail high-street banks are slower for non-residents. Free Zone “recommended” banks are faster for standard activities but may have weaker multi-currency or API features. Private / corporate desks cost more and move faster when AUM or turnover is real.

  2. Get a named relationship manager before you submit. Cold portal uploads sit in queues. A warm intro from your Free Zone, formation agent, or an existing banker is the single biggest time saver.

  3. One signatory set. Changing directors mid-review restarts KYC.

  4. Same story everywhere. License activity, website, invoices, and the RM interview must describe the same business.

  5. Source of funds before the first wire. Banks freeze or return unexplained first deposits. Tell them the sender and amount in advance.

  6. Do not shop five banks with identical incomplete files. Parallel applications with gaps create conflicting requests. Prepare one complete file, then run two applications maximum.

  7. Keep people reachable. Missed video KYC slots add a week.


Common pitfalls that stall accounts


  • UBO through nested offshore companies with no apostilled corporate documents for each layer

  • Nominee shareholders that are not disclosed up front

  • Crypto, mixers, or high-risk jurisdictions in personal or company history with no written explanation

  • Address proof in a different country from the passport, with no explanation

  • License activity mismatch (trading license, services website)

  • Shared office that the bank’s inspector cannot find or that is used by dozens of unrelated companies

  • First invoice in a personal name then “please receive it in the new company”

  • Passports expiring inside 6 months

  • Using a personal account “temporarily” for company revenue (creates a worse SOF story later)

  • Promising clients an IBAN date you cannot control


Mainland vs Free Zone (banking implications)


Free Zone companies often have a bank introduction letter and a familiar compliance pack. Mainland companies can look stronger for local tenders and some counterparties, but the bank still wants the same UBO and SOF file. The legal form does not skip KYC.


If you need to invoice the UAE government or hold certain local contracts, confirm banking and licensing together. Do not assume a Free Zone IBAN is always accepted by a given counterparty.


What “open” actually means


You are not done at “account approved.” Confirm:

  • IBAN and SWIFT you can put on invoices

  • Currencies enabled (AED plus USD/EUR if you need them)

  • Online banking access for all required signatories

  • Transfer limits that match your first payroll or supplier payment

  • Whether incoming wires from your actual clients’ countries are unrestricted

1. Lock the company structure first


Visas in Dubai sit on a licensed entity. Do not start visa files until:


  • Trade name and license activity are approved

  • Establishment card / immigration file is open (or equivalent for your free zone / mainland)

  • Ejari or free-zone premises quota is confirmed

  • Shareholding and manager appointment match passport names exactly


Mismatch between license, immigration file, and passport data is the most common delay.


2. Investor / partner visa (establishment card route)


Typical sequence:


  1. Issue or update the establishment card with the investor as a partner/manager

  2. Entry permit (inside country change of status or outside stamping)

  3. Medical fitness (DHA / designated centers)

  4. Emirates ID biometrics

  5. Residence visa stamping in passport

  6. Emirates ID collection


Documents to prepare


  • Passport (6+ months validity, blank pages)

  • Passport-size photos (white background, ICA specs)

  • NOC or board resolution appointing the investor (if required by your license)

  • Memorandum / share certificate / manager appointment

  • Proof of premises (Ejari, free-zone lease, or flexi-desk allocation)

  • Previous visa cancellation / exit papers if you held another UAE status


Pitfalls


  • Filing visas before the establishment card is fully active

  • Name spelling differences across passport, license, and bank KYC

  • Overstaying visit status while waiting for change of status

  • Assuming a visit visa “converts” without a proper inside-country application

  • Quota exhausted on flexi-desks or virtual offices


3. Employee visas (work residence)


Typical sequence:


  1. Confirm labour / free-zone quota and job title vs licensed activities

  2. Offer letter and labour contract (or free-zone employment contract)

  3. Work permit / entry permit

  4. Medical + Emirates ID

  5. Residence visa + labour card / contract attestation as applicable


Documents to prepare


  • Employee passport and photos

  • Attested educational certificates when the job title requires them (often degree-level titles)

  • Previous visa cancellation

  • Signed contract matching salary and designation on the permit

  • Company immigration and labour files in good standing (no blocked WPS / unpaid fines)


Pitfalls


  • Job title not on the license activity list

  • Salary below the band expected for that designation (banking and later family visas will flag this)

  • Unattested degrees when GDRFA / MOHRE requires attestation

  • Hiring before quota is granted

  • Ignoring 60-day / 30-day grace rules after cancellation


4. Family visas (once the sponsor is stable)


Investor or employee sponsors usually need:


  • Tenancy (Ejari) meeting income/housing rules

  • Salary certificate or audited proof of income

  • Marriage / birth certificates attested and translated

  • Health insurance for dependents


Do not promise family visas in the same week as company formation. Residence must be active first.


5. Compliance that blocks visas if you skip it


  • Economic Substance / UBO filings where applicable

  • Corporate tax registration after formation

  • Immigration medical insurance

  • WPS / payroll setup before employee visas go live

  • Immediate cancellation and absconding avoidance when staff leave

  • Keep establishment card, licence, and lease dates aligned. Expired lease = frozen visas.
